Version: 1.0

1. About AURA

AURA is a B2B digital platform designed to support international trade through supplier discovery, business verification, sourcing tools, document management, and structured commercial information.

The Platform is operated by AURA CORPORATE SERVICES LTDA, registered under 69.196.800/0001-26, with its registered office at Rua Alameda Nativa, 1302, Canasvieira, Florianópolis/SC, CEP 88054380 ("Operator"). By accessing or using AURA, users agree to these Terms of Use and the applicable Privacy Policy.

2. Eligibility and Accounts

AURA is intended for companies and professionals engaged in legitimate business activities.

By registering, users confirm that they:

  • Are at least 18 years old and legally authorized to act on behalf of their organization;

  • Provide accurate, complete, and current information;

  • Maintain the confidentiality of their account credentials;

  • Comply with applicable laws and international trade regulations.

The Operator may request additional documentation to confirm business identity, authorization, or eligibility.

Accounts may be restricted or suspended if submitted information is false, incomplete, or presents material compliance or security risks.

3. Platform Services

AURA provides digital tools and information to support:

  • Supplier and product discovery;

  • Business identification and verification;

  • Requests for Quotation (RFQs);

  • Commercial information and document management;

  • Assisted sourcing and business coordination;

  • Access to specialized services.

AURA facilitates commercial connections but does not guarantee the successful completion of any transaction.

Unless expressly agreed in a separate contract, the Operator does not act as the buyer, seller, manufacturer, financial institution, customs broker, or legal representative of any transaction party.

4. Business Verification

AURA may provide verification indicators, including the AURA Verified Passport, based on official records, submitted documents, public information, and other relevant sources. Verification reflects the information available within the stated scope and at the time of assessment.

Verification does not constitute a guarantee of financial solvency, product quality, production capacity, future performance, or absence of commercial risk. Verification statuses may be updated, suspended, or withdrawn if relevant information changes or becomes unreliable.

Users remain responsible for conducting their own due diligence before entering into commercial commitments. Payment for verification services does not guarantee approval or Verified status.

5. Commercial Transactions

Commercial agreements entered into through or following the use of AURA remain the responsibility of the parties involved. Buyers and suppliers are responsible for confirming:

  • Product specifications, quantities, and pricing;

  • Payment conditions and financial instruments;

  • Incoterms, logistics, and delivery terms;

  • Certifications, licenses, and regulatory requirements;

  • Contractual obligations and transaction risks.

AURA does not assume responsibility for third-party contractual defaults, shipment delays, product non-conformities, payment failures, or inaccurate information supplied by third parties, except where liability is imposed by applicable law.

6. Subscription Plans and Payments

Access to certain Platform features may require a paid subscription or a one-time service fee. Applicable prices, features, billing periods, and payment conditions will be disclosed before purchase. Where offered, a 3-day free trial may require a valid payment method. Unless canceled before the trial expires, the selected subscription will automatically begin and the applicable fee will be charged, as clearly disclosed during registration.

Subscriptions may renew automatically according to the billing terms expressly accepted by the user. Users may cancel recurring subscriptions through the available account or support channels. Cancellation prevents future renewals, while access generally remains available until the end of the paid billing period. Refunds and cancellations are subject to the applicable service conditions and mandatory legal requirements. The Operator may change subscription prices with advance notice before the applicable renewal period.

7. Confidentiality and Data Protection

AURA recognizes the confidential nature of international trade information. Business documents, quotations, pricing, commercial volumes, company information, and transaction details submitted through restricted areas shall be handled according to applicable confidentiality obligations and access controls. Such information may be accessed or shared only as reasonably necessary to provide requested services, by authorized persons, with appropriate service providers, or where required by law. Users must not disclose or misuse confidential information obtained through the Platform.

Personal data shall be processed in accordance with AURA's Privacy Policy and applicable data protection legislation, including Brazil's General Data Protection Law (LGPD), where applicable. Separate confidentiality agreements, including NDAs or NCNDAs, remain enforceable according to their respective terms.

8. User Responsibilities and Prohibited Activities

Users are responsible for the accuracy, authenticity, and lawful use of all information and documents they provide.

The following activities are prohibited:

  • Fraud, misrepresentation, or submission of false documents;

  • Money laundering, corruption, or unlawful transactions;

  • Violation of applicable trade sanctions or export controls;

  • Unauthorized collection or disclosure of information;

  • Infringement of intellectual property rights;

  • Unauthorized access, system interference, or misuse of Platform functionality;

  • Circumvention of contractual confidentiality or non-circumvention obligations.

The Operator may restrict access, suspend accounts, remove unlawful content, or take appropriate legal action in response to violations or material risks.

9. Intellectual Property

AURA's software, design, trademarks, databases, interface, proprietary content, and verification systems are protected by applicable intellectual property laws. Users receive a limited, non-exclusive, non-transferable right to access and use the Platform for authorized business purposes.

Unauthorized copying, redistribution, resale, reverse engineering, or commercial exploitation of Platform materials is prohibited.

Users retain ownership of their submitted content and authorize its limited processing as necessary to deliver the requested services, subject to applicable confidentiality and data protection obligations.

10. Third-Party Information and Technology

AURA may use third-party data sources, integrations, automated systems, and artificial intelligence to organize information, assist verification, and support business decisions. Although reasonable care is taken, such information or automated outputs may be incomplete, outdated, or inaccurate.

Users should independently confirm material information before relying on it for contractual, financial, regulatory, or operational decisions. Third-party services remain subject to their respective terms and responsibilities.

11. Platform Availability

The Operator will take reasonable measures to maintain the security, functionality, and availability of AURA. However, uninterrupted access, error-free operation, and continuous availability cannot be guaranteed. Maintenance, updates, technical incidents, external service failures, or circumstances beyond reasonable control may temporarily affect Platform functionality.

Material changes affecting paid services will be communicated within a reasonable period whenever practicable.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the Operator shall not be liable for:

  • Commercial losses arising from transactions between users or third parties;

  • Lost profits, lost opportunities, or indirect damages;

  • Product quality, delivery, payment, or contractual failures attributable to third parties;

  • Decisions based on unconfirmed or outdated information;

  • Events beyond the Operator's reasonable control.

The Operator remains responsible for direct damages legally attributable to its own breach of obligations.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

13. Suspension and Termination

The Operator may suspend or terminate access in cases involving:

  • Violation of these Terms;

  • Fraudulent, unlawful, or misleading activity;

  • Failure to meet payment obligations;

  • Security or regulatory risks;

  • Material failure to satisfy verification requirements.

Where reasonably possible, users will be informed and given an opportunity to address the issue.

Users may request account closure, subject to outstanding contractual obligations, applicable legal retention requirements, and preservation of necessary records.

14. Governing Law and General Provisions

These Terms are governed by the laws of the Federative Republic of Brazil, without prejudice to mandatory laws applicable in other jurisdictions. The parties shall first seek to resolve disputes amicably through direct communication.

Where judicial proceedings are necessary, jurisdiction shall be determined by the competent courts under applicable law, subject to any valid and enforceable jurisdiction agreement. Specific commercial agreements may establish separate dispute resolution or arbitration provisions.

The Operator may update these Terms to reflect legal, operational, or commercial changes. Material amendments shall be communicated appropriately.

If any provision is considered invalid or unenforceable, the remaining provisions shall remain effective.

These Terms may be published in multiple languages. In the event of a discrepancy, the Portuguese version shall prevail, except where otherwise required by law or an applicable agreement.
